These Terms and Conditions govern the use of the digital platform retucsos.com, operated by Retucsos S.A. By accessing or using our services, you accept these terms in their entirety. If you do not agree, we ask that you do not use the platform.

1. Nature of the platform

Retucsos operates as a real estate crowdlending technology platform that connects investors with real estate projects in Ecuador. We are not a financial institution, bank, brokerage firm, or fund manager. We act exclusively as technological intermediaries facilitating the connection between parties.

2. Eligibility

To use the platform you must: be over 18 years old, possess an Ecuadorian citizenship card or foreign resident identity card, have legal capacity to enter into binding contracts, not be included in national or international sanctions lists, and provide truthful and current information during the registration process.

3. Investment risks

All investment carries risks. By using Retucsos you acknowledge that: past returns do not guarantee future results, invested capital may be partially or totally lost, liquidity of real estate investments is limited, external factors (economic, political, natural) may negatively affect projects, and Retucsos does not guarantee nor assume responsibility for the returns of any project.

4. Fees and charges

Retucsos charges a management fee detailed in each project's factsheet before investing. There are no hidden charges. Fees may include: structuring fee (at project inception), annual management fee, and commission on distributed returns. All amounts are stated in US dollars (USD), legal tender in Ecuador.

5. User obligations

As a user you commit to: providing complete and truthful information, maintaining the confidentiality of your access credentials, immediately notifying any unauthorized use of your account, not using the platform for illegal activities or those contrary to public order, and complying with tax obligations derived from your investments before the SRI (Internal Revenue Service).

6. Intellectual property

All platform content (texts, designs, logos, source code, databases) is the property of Retucsos S.A. or its licensors. Reproduction, distribution, or modification without prior written authorization is prohibited. The 'Retucsos' trademark is registered with SENADI (National Service of Intellectual Rights of Ecuador).

7. Limitation of liability

Retucsos shall not be liable for: indirect, incidental, or consequential damages arising from the use of the platform, investment losses attributable to the inherent risk of the real estate market, service interruptions due to force majeure (natural disasters, conflicts, pandemics), or actions or omissions of third parties involved in projects.

8. Dispute resolution

Any dispute arising from these terms shall preferably be resolved through mediation before the Mediation Center of the Quito Chamber of Commerce. If no agreement is reached, the parties submit to the jurisdiction of the competent courts of the city of Quito, Province of Pichincha, Ecuador.

9. Modifications

Retucsos reserves the right to modify these terms at any time. Substantial modifications will be notified at least 15 days in advance via email and notice on the platform. Continued use after notification constitutes acceptance of the new terms.

10. Governing law

These terms are governed by the laws of the Republic of Ecuador. For matters not covered herein, the Civil Code, Commercial Code, and current regulations of the Superintendency of Companies, Securities, and Insurance (SCVS) shall apply supplementarily.
